Merger and acquisition (M&A) activity continues to shake up the wholesale distribution industry. To date, the top three pharmaceutical distributors in the United States gained a majority of market share, while megamergers form multibillion-dollar firms serving every sector from industrial manufacturing and high tech to food service and chemicals.

Although the average value of M&A deals has more than doubled in recent years, the decision to merge with another company or become acquired is not necessarily a forgone conclusion. Midsize distributors must focus on efforts that strengthen their capacity and value to offset the risk of being commoditized and pushed out by larger competitors and industry-adjacent players. Rather than focusing solely on buildings and contracts, firms partaking in M&A transactions should consider the merging teams to avoid clashing values and achieve cultural cohesion, says Sarah Towers.

Rising interest rates and inflation have been blamed for the global merger and acquisition (M&A) market’s laboured start to the year after the volume of deals made in Q1 fell by more than one fifth on the same quarter last year. Companies looking to secure M&A transactions in the coming year could equally battle a sustained period of low economic growth, making it harder to secure funding for mergers and acquisitions from cautious banks and private equity companies. The goal of a merger or acquisition is to create a new entity that’s greater than the sum of its parts. When that merger involves product suites spanning multiple services on either side, the level of complexity rises exponentially—but so does the growth potential.

A big part of investing in biotech is owning takeover names. The quick gains offset a lot of mistakes. Having a biotech stock get bought out simplifies the “sell” decision, too. 

Lately, though, biotech investors have been far less enthusiastic about takeover prospects. The Federal Trade Commission (FTC) has cast a shadow over the space with an aggressive attempt to challenge a big biotech buyout.
